These Terms and Conditions ("Terms") constitute a binding agreement between you and TeamFundraising LLC ("TeamFundraising," "we," "us," or "our"), a company registered in Texas, United States at 5900 BALCONES DR STE 100, AUSTIN, TX 78731. By accessing or using our websites, subdomains, mobile applications, or services (collectively, the "Platform"), you agree to be bound by these Terms.
These Terms are designed to support our unique business model, where TeamFundraising acts as a software provider to small businesses who sell products through fundraising teams. We are not the seller of record for any product listed through the Platform.
General Terms and Conditions
1. Introduction and Scope
These Terms govern your access and use of the Platform whether you are a business partner, fundraiser, supporter, or site visitor. They apply to all activities conducted through our Platform, including but not limited to creating, managing, and participating in fundraising campaigns, purchasing products, and accessing services. Supplemental terms may apply to specific services or features and will be disclosed to you in connection with those services.
2. Our Role
TeamFundraising provides a B2B2C software-as-a-service platform that enables Business Partners to host branded fundraising websites. TeamFundraising facilitates the technical infrastructure but does not act as the merchant of record, does not fulfill or ship products, and is not responsible for any aspect of the product transaction between Business Partners and Supporters.
3. User Types
Business Partners are responsible for product listings, pricing, inventory, taxes, fulfillment, shipping, returns, refunds, and chargebacks. They must provide accurate legal policies (e.g., Refund, Privacy, Terms) on their subdomain.
Fundraising Teams manage campaigns using tools provided by the Business Partner. They must ensure accurate campaign information and comply with applicable laws and school/organization guidelines.
Supporters are customers who purchase products from Business Partner storefronts to support fundraisers. They engage directly with the Business Partner in the transaction.
4. Platform Use and License
We grant users a limited, non-exclusive, revocable license to use the Platform solely for its intended purpose. You agree not to use the Platform for illegal, fraudulent, or unauthorized activities, including scraping data, bypassing security features, or misrepresenting your identity or affiliation.
5. Account Management
To use certain features, you may be required to register an account. You agree to:
- Provide accurate, complete, and updated information
- Maintain the confidentiality of your login credentials
- Notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate any account for violations of these Terms or suspected fraudulent behavior.
6. Intellectual Property
All content and software on the Platform, including but not limited to branding, layout, text, graphics, and code, is owned by or licensed to TeamFundraising. You may not copy, modify, distribute, or create derivative works without express written permission. Business Partners grant TeamFundraising a non-exclusive license to use their trademarks and assets within the Platform for promotional and operational purposes.
7. Data and Privacy
Your data is processed in accordance with our Privacy Policy. Business Partners are granted access to relevant supporter and fundraising team data solely for the purpose of fulfilling transactions and providing customer service. TeamFundraising retains ownership of all platform-collected data and reserves the right to aggregate and anonymize data for analytics, product improvement, and marketing.
8. Fundraiser Content Standards
Campaigns must:
- Be truthful, accurate, and transparent about the fundraising purpose
- Comply with applicable laws and regulations
- Not mislead or impersonate any person or organization
- Not include objectionable, unlawful, or inappropriate material TeamFundraising reserves the right to suspend or remove any fundraiser that violates these standards.
9. Payment and Transaction Terms
All transactions are processed through Stripe Connect. Users agree to Stripe’s terms and to the platform collecting fees per our pricing structure. We are not a party to the product transaction and do not mediate order-related issues, including:
- Refunds
- Shipping delays
- Damaged or incorrect products
- Chargebacks Supporters must resolve these issues directly with the Business Partner.
TeamFundraising is not responsible for any losses or disputes arising from the performance, delivery, or quality of products sold via the Platform. Any payment disputes or chargebacks initiated by a Supporter are the responsibility of the Business Partner. Business Partners acknowledge and accept full liability for such occurrences, including related Stripe or platform fees.
10. Fees and Taxes
Business Partners agree to pay all platform fees as outlined in their signed agreement. Fees may be deducted at the time of transaction or billed monthly. Failure to remit payment will result in account suspension or termination.
Business Partners are solely responsible for calculating, collecting, and remitting any applicable taxes (e.g., sales tax, VAT). TeamFundraising may facilitate sales tax calculation via Stripe but does not assume liability for tax compliance.
11. Platform Availability
We aim to provide 24/7 uptime but do not guarantee uninterrupted access. Platform maintenance, updates, and outages may occur. We are not liable for damages resulting from downtime or interruptions.
12. Prohibited Conduct
You agree not to:
- Exploit the platform or its users
- Upload malicious software
- Use the platform for illegal purposes
- Violate intellectual property rights
- Interfere with platform operations Violations may lead to immediate suspension or permanent ban from the Platform.
13. Termination
We reserve the right to suspend or terminate access to the Platform at our discretion, especially in cases of fraud, non-payment, or breach of these Terms. Upon termination, you must cease all use of the Platform, and any remaining funds owed to TeamFundraising become immediately due.
14. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TEAMFUNDRAISING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TEAMFUNDRAISING DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TEAMFUNDRAISING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL TEAMFUNDRAISING'S TOTAL LIABILITY EXCEED THE AMOUNT PAID TO US FOR USE OF THE PLATFORM IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
16. Indemnification
You agree to indemnify, defend, and hold harmless TeamFundraising, its officers, directors, employees, and affiliates from and against any and all claims, damages, liabilities, losses, costs, or expenses arising out of or relating to:
- Your use of the Platform
- Your violation of these Terms
- Your content or user submissions
- Any transaction or dispute between you and a third party
17. Legal Disputes
These Terms are governed by the laws of the State of [Insert State], without regard to conflict of law principles. Any legal action shall be brought exclusively in the courts of [Insert County/State]. You consent to personal jurisdiction and waive any objection based on forum non conveniens.
18. Entire Agreement
These Terms, our Privacy Policy, and any applicable service or business agreements constitute the entire agreement between you and TeamFundraising and supersede all prior agreements and understandings.
LIMITATIONS OF LIABILITY
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE LESSER OF THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE ONE (1) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING OR $10.00 USD. CERTAIN US STATE LAWS AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.
19. Changes to Terms
We may update these Terms from time to time. Material changes will be posted on our website. Continued use of the Platform after such changes constitutes your acceptance of the revised Terms.
Fundraising Policy
1. Fundraiser Setup
Only authorized individuals may create or manage fundraisers. Campaigns must be created using accurate and truthful details about the team, goals, and distribution of proceeds. We may request verification documents at any time.
2. Fundraiser Purpose and Conduct
All campaigns must reflect real fundraising needs and comply with school, organizational, and local regulations. TeamFundraising reserves the right to suspend campaigns for any form of misrepresentation or abuse of the Platform.
3. Payouts
Fundraising Teams are entitled to a share of the proceeds, calculated based on the Business Partner’s payout structure. Payouts are processed by the Business Partner after the fundraiser ends and required verification (e.g., tax forms) is complete. TeamFundraising does not issue payouts and is not responsible for delays or disputes related to fundraising revenue.
4. Refunds, Returns, and Chargebacks
All refund, return, and chargeback requests must be directed to the Business Partner. Business Partners are required to clearly disclose their refund and return policy. In the event of a chargeback, the Business Partner bears full responsibility and shall cover any related Stripe and platform processing fees. TeamFundraising may assist in facilitating communication but is not responsible for enforcing resolutions.
If TeamFundraising is charged back directly, we reserve the right to collect the disputed amount and associated fees from the Business Partner immediately, including through deduction from future earnings or invoicing.
5. Tax and Legal Compliance
Business Partners are solely responsible for ensuring compliance with applicable tax laws, fundraising laws, product regulations, and required disclosures. TeamFundraising does not offer legal or tax advice and encourages all users to consult qualified professionals.
6. Age and Consent
Fundraising Team members must be at least 13 years old. If under 18, they must have the express consent of a parent or legal guardian. Any accounts suspected of being underage without authorization will be terminated.
7. Code of Conduct
Users agree to interact respectfully and lawfully. Harassment, hate speech, threats, spam, and fraudulent behavior will result in immediate account termination.
8. Platform Support
Technical issues related to account access, fundraiser setup, or other platform functions should be directed to TeamFundraising support. Product-specific inquiries (e.g., order status, returns) must be addressed to the relevant Business Partner.
9. Policy Changes
We reserve the right to update this Fundraising Policy at any time. Any changes will be reflected in the date above and may require re-acceptance to continue use of the Platform.
